Conduct Guideline

Guided by Honda Philosophy, Honda has expanded its business globally based on the pursuit of new dreams and the determination to make them come true. Through these efforts, we have shared a "joy" and established a trust with customers and society around the world. In order to further advance our global business in each region, every Honda associate in various countries around the world needs to share common values at Honda and become even more self-reliant. The "Honda Conduct Guideline" represents the important values that have guided our actions to date. With each one of us sharing these values, we will be able to further gain the trust of our customers and society, helping Honda strengthen its position as "a company that society will want to exist."

Compliance

Honda continuously strengthens compliance activities to enhance its trust from society.

I, as an associate of Honda, ensure that my relationships and activities comply with applicable laws, rules and regulations, and the common sense of the community in which I operate.

Respect for Laws and Regulations

Proper understanding of laws and regulations
I will understand and abide by the words as well as the spirit of applicable laws and regulations, stay informed of relevant revisions to applicable laws and regulations and take necessary courses of action.

What to do in case of unclear interpretation
Whenever there is a doubt or unclear interpretation of applicable laws and regulations, I will consult with the legal department, government bodies and/or outside experts.

What to do if the laws and regulations have been violated
Whenever violations of laws and regulations or the risk of such an occurrence is noticed, I will report to or consult with my supervisor or the legal department, or make proposal to the ethics help line.

Report/notification to government agencies
I will appropriately make reports/notifications to government agencies as required by law.

Respect for Internal Rules

Proper understanding of internal rules
I will understand and abide by the words as well as the spirit of applicable internal rules, stay informed of revisions and take necessary courses of action.

What to do in case of unclear interpretation
Whenever there is a doubt or unclear interpretation of Internal Rules, I will consult with the department that established the rules to confirm a proper understanding.

What to do if internal rules have been violated
Whenever violation of internal rules or the risk of such an occurrence is noticed, I will report to or consult with my supervisor or make a proposal to the ethics help line.

Report/notification
I will appropriately make reports/notifications as required by internal rules.

Respect for Social Norms

As a member of society, I will behave ethically and in accordance with the values of society.

Traffic Safety

Honda is developing advanced safety technology and promoting activities for safe driving in pursuit of a safer society where people use mobility.

I, as an associate of Honda, will abide by traffic rules, follow driving manners, and strive to drive safely.

Environmental Protection

Honda is dedicated to address various global environmental issues through all business activities as a responsible member of society.

I, as an associate of Honda, will take a proactive approach to protect and promote the environment.

Reduction of environmental impacts
In performing my work, I will follow the laws and regulations related to the protection of the environment, company policy and internal rules, and strive to reduce the environmental impacts through promoting efficient use of natural resources and energy and recycling.

Contributions to Society

Honda strives to contribute to society through providing products and services that exceed the expectations of customers and society, as well as through other business activities. To fulfill social responsibilities as a corporate citizen, Honda also engages in activities that contribute to the well-being of society.

I, as an associate of Honda, will understand Honda’s fundamental approach concerning contributions to society, and will strive to play the expected role in the community.

Company Assets

Honda possesses and manages tangible and intangible assets as management resources to achieve business goals.

I, as an associate of Honda, will appropriately handle company assets, and will neither practice nor engage in any act that harms the value of company assets or that conflicts, or appears to conflict, with the interest of Honda.

Management of company assets
I will follow internal rules to appropriately manage assets of Honda such as facilities, equipment, jigs, products, parts and accessories, rental items from company, money, intellectual properties and every other asset, and I will not use assets of Honda other than for purposes of the business and operations of Honda.

Conflict of interest
I will neither practice nor engage in any act that benefits my own interest or the interests of business partners or third parties, which may conflict, or appear to conflict, with the interests of Honda.

Management of Information

Honda appropriately protects and manages confidential information and personal information for the purpose of conducting proper business operation.

I, as an associate of Honda, will appropriately handle confidential information and personal information.

Management of confidential information
I will follow applicable laws, rules and regulations, and appropriately manage confidential information of Honda, information regarding business partners and personal information regarding customers and associates of Honda.

Safety and Health

Honda provides a safe and healthy work environment by managing workplace risks to maintain a work environment that enables all associates to work with a sense of security.

I, as an associate of Honda, in compliance with the internal rules, will strive to maintain a safe and healthy workplace and to prevent accidents and to minimize any damage.

Maintaining a safe and healthy workplace
I will make every effort to maintain a safe and healthy workplace by keeping an orderly, well-organized and clean workplace.

Accident prevention
I will follow rules at my workplace and strive to correct imperfect practices and conditions.

Report of a safety and health concern
I will immediately report to my supervisor whenever a safety and health concern is found.

What to do in case of disaster
I will make sure to know the procedures to be taken and emergency contacts in case of an emergency, and strive to place priority on protection of human life and minimize any damage of disaster.

Respect for Human Rights

Honda continues to be a company that respects human rights with a commitment to the value of fairness and sincerity.

I, as an associate of Honda, will respect human rights, and will not treat any person in an unjust and discriminatory way, nor will I practice any act of harassment.

Prohibition of discrimination
I will not use any discriminatory words nor take actions and behaviors towards any person regarding personal attributes or characteristics.

Prohibition of harassment
I will not practice harassment of any kind, including sexual harassment and workplace harassment.

Business Transactions

Honda, as a fair company and under free competition, strives to achieve long-term and developing relationships through building trust with its business partners.

I, as an associate of Honda, will maintain fair and sound relationships with business partners.

Compliance with the laws and regulations, and internal rules regarding transactions
I will follow applicable laws and regulations, and internal rules regarding transactions.

Prohibition on excessive gifts and benefits
In my dealings with business partners, I will neither offer nor accept gifts or benefits beyond what is generally considered appropriate in the society.

Prohibition on improper exercise of position and authority
I will not inappropriately exercise my position or authority to exact improper benefits from business partners. Vice versa, I will not give improper benefits to business partners.

Relationships with Politics and Administration

Honda, as an independent company, will maintain a straightforward and sincere relationship with politics (political bodies and politicians) and administration (administrative bodies and government officials).

I, as an associate of Honda, will deal fairly and openly with politics and administration by complying with applicable laws and regulations and following the common sense of society.

Prohibition on gifts and benefits
I will not offer domestic, foreign and international government officials or politicians any gifts or benefits that are prohibited by any laws and regulations or that exceed the socially accepted limits.

Communication

Honda promotes appropriate communication with the stakeholders such as customers, business partners, shareholders and investors, and local communities, as well as encourages smooth internal communication, for the purpose of staying transparent and accountable.

I, as an associate of Honda, will strive to practice appropriate and smooth communication.

Timely and appropriate disclosure of information
I follow the laws, rules and regulations related to disclosure of information, and strive to disclose information appropriately.

Communication with stakeholders
I will respond in a sincere manner regarding the voices, opinions, and inquiries of stakeholders.

Communication at work
I will strive to practice smooth communication at work to create a harmonious work environment.
